# Debit After Durbin: Rewards, Routing, and the Search for Lost Economics

*Fifteen years after the Durbin Amendment capped debit interchange, the value it displaced never disappeared — it migrated. Now, as network ownership emerges as an issuer strategy, the question that was never settled in 2011 is back: when debit economics change, who captures the value?*

In early July 2026, The Wall Street Journal and Reuters reported that several of the largest U.S. debit issuers had held preliminary discussions about acquiring debit-network assets from Fiserv — principally the STAR network, one of the country's major independent debit rails.[1][2] The talks are early, tentative, and by several accounts already cooling; some participants have reportedly concluded a transaction is unlikely, citing the prospect of political, regulatory, and merchant backlash.[1][3]

Whether or not that transaction ever happens, the fact that it was seriously explored is the real story — because it is the second data point in an emerging pattern, not the first. In May 2025, Capital One completed its acquisition of Discover Financial Services, becoming a major U.S. issuer that owns its own payment networks, including the PULSE debit network.[4] Taken together, the closed deal and the reported one describe a structural shift: network ownership is becoming an issuer strategy, and the reason traces directly back to a fifteen-year-old piece of legislation.

This piece examines that lineage. The Durbin Amendment compressed debit economics at large banks and dismantled the debit rewards layer — that much the record establishes clearly. But the value it displaced did not vanish. It migrated across the household wallet, pooling wherever structural incentives directed it. Understanding where it went between 2011 and today is the only reliable way to evaluate where it would go if debit economics were restored. The central question is not whether more value can be created from debit. It is who captures it.

## What Durbin changed

The Durbin Amendment — Section 1075 of the 2010 Dodd-Frank Act — directed the Federal Reserve to ensure that debit interchange fees received by large issuers were "reasonable and proportional" to cost. The Board implemented the mandate through Regulation II, effective October 1, 2011, capping interchange for issuers with $10 billion or more in assets at 21 cents plus five basis points of transaction value, with a one-cent fraud-prevention adjustment for eligible issuers.[5] Regulation II also prohibited network exclusivity arrangements and routing restrictions, requiring every debit card to carry at least two unaffiliated networks and giving merchants the right to choose the routing path.[6]

The economic compression was immediate and durable. In 2009, the last full pre-regulation year measured by the Federal Reserve's first data collection, the average debit interchange fee across all transactions was approximately 44 cents — and materially higher for signature debit at large issuers. After the cap took effect, average interchange on covered transactions settled at roughly 23 to 24 cents, and the Fed's biennial reports confirm it "has not changed materially" since the fourth quarter of 2011.[7][8] For the largest issuers, this meant a revenue reduction on the order of half of pre-regulation debit interchange — widely estimated in the industry at several billion dollars annually, with some analyses placing the figure above $8 billion across covered institutions.[9]

Two things are worth stating precisely. First, the cap applied to the fee, not the product: debit cards worked exactly as well on October 2, 2011 as they had on September 30. Second, the cap applied only to interchange fees established by payment card networks and received by covered issuers. Transactions running over a network owned by the issuer itself — the closed-loop, three-party model — sit outside that structure, because there is no third-party-set interchange fee to regulate.[3][10] That distinction was a footnote in 2011, when no major U.S. bank owned a debit network. It is the reason network ownership is a live strategic question in 2026.

## The debit rewards layer before Durbin

The claim that Durbin "killed debit rewards" is common, directionally true, and imprecise in ways that matter for evaluating what restored economics would actually buy.

Debit rewards were never universal. Before 2011, they were a selective, strategically deployed layer concentrated among large issuers and tied to the checking relationship — cash-back programs, airline-mile debit cards, rewards-linked checking tiers, and a range of merchant-funded and relationship-banking offers. Industry surveys in the late 2000s suggested a meaningful minority of debit cards carried rewards, weighted heavily toward covered issuers — precisely the institutions Durbin would soon reach.[11] The rewards themselves were thinner than credit rewards, typically a fraction of a percent of spend, because the interchange funding them was thinner.

What Durbin did was remove the funding mechanism at exactly the institutions that had built the programs. The response was swift: across 2011 and 2012, large covered issuers curtailed or eliminated debit rewards programs almost across the board, several of them ahead of the rule's effective date.[11] The adjacent casualty was free checking: the share of noninterest checking accounts with no monthly fee fell from 76 percent in 2009 to roughly 39 percent by 2012, as banks moved to recover lost fee income through the deposit relationship.[12] One large issuer's attempt to charge a $5 monthly debit-card usage fee in the fall of 2011 — withdrawn within five weeks under intense public and political pressure — remains the era's most instructive episode: it demonstrated both the industry's determination to recapture the economics and the sharp limits on doing so visibly.[13]

Subsequent academic work put numbers on the quieter recapture. Research by Federal Reserve economists found that banks subject to the cap offset roughly 30 percent of lost interchange revenue through higher deposit fees and reduced account benefits.[14] The remainder was not simply absorbed. It was pursued elsewhere in the wallet.

## The wallet reallocated

The most important post-Durbin fact is what did *not* happen: consumers did not abandon debit, and they did not return to cash. Debit remained the most-used noncash payment instrument in the United States throughout the 2010s, and it still is. By 2023, U.S. networks processed 100.7 billion debit and general-use prepaid transactions worth $4.7 trillion, generating $34.12 billion in interchange across covered and exempt issuers.[8] Debit's functional value — everyday spending, ATM access, budget discipline, checking-account utility — was never impaired. What Durbin impaired was debit's *strategic* value as a loyalty product.

Issuer incentives responded accordingly. Credit-card interchange remained uncapped, and credit carried finance charges, annual fees, and richer network economics besides. The decade after Durbin saw large issuers pour investment into credit rewards with an intensity that reshaped the market — culminating in the premium-card competition that ignited in 2016 and that the largest issuers are still escalating today. Federal Reserve payments data show credit-card volume and value growing faster than debit through much of the 2010s, even as debit continued expanding.[15]

Two claims must be kept separate here, because the evidence supports one and not the other. The strong claim — that the same issuer recaptured the same customer's same lost debit transaction as a credit transaction — cannot be proven with public data; it would require customer-level portfolio analysis no bank publishes. The defensible claim is directional and structural: Durbin changed the relative attractiveness of debit and credit *to issuers*, and issuers reallocated rewards investment, marketing, and product emphasis toward the uncapped side of the wallet. The household kept paying electronically. The loyalty engine moved.

This is why the post-Durbin story was never zero-sum at the issuer level. Large banks lost regulated debit interchange, recovered a portion through deposit fees, and repositioned the rewards relationship around credit — where the economics were better than regulated debit had ever been. Merchants, meanwhile, saw regulated debit acceptance costs fall, though research on how much of that saving reached consumers through prices remains contested.[16] The value did not disappear in 2011. It moved — toward whoever held the stronger structural position.

## Network ownership as issuer strategy

That history is the correct lens for the industry's current interest in debit networks.

The precedent is Capital One–Discover: announced in February 2024 as a $35.3 billion all-stock transaction and completed in May 2025, it created a major U.S. issuer that owns its own networks, including PULSE on the debit side.[4] The deal was read at the time as a one-off enabled by Discover's unique position. The reported Fiserv talks suggest it was instead a template — evidence that the largest debit issuers have been actively studying the replication path.

The asset at the center of the 2026 reporting illustrates why. STAR serves more than 115 million debit cardholders through over 2,800 financial institutions and routes roughly 3 billion transactions annually; trade-press coverage puts a valuation estimate around $15 billion.[17][18] Ownership of an asset like that carries three layers of strategic value, in ascending order of importance.

The first is infrastructure: owning the rails reduces an issuer's dependence on the network duopoly's debit brands and on rival-owned alternatives. The second is routing economics: Regulation II made merchant routing choice the fulcrum of debit economics, and a network owner gains influence over the routing table itself, plus a seat on the network-fee side of every transaction it carries — including volume from the thousands of smaller institutions already on the network. The third layer is the regulatory dimension. Because the Durbin cap attaches to interchange fees set by third-party networks, analysts at KBW note that issuer-owned-network transactions could fall outside the cap entirely — and estimate that Durbin exemption could lift gross revenue for the ten largest debit issuers by between $460 million and $3.5 billion annually.[10]

That third layer is both the prize and the obstacle, and the analyst community has been notably direct about the obstacle. William Blair wrote that the regulatory risk is high and that "backlash from large retailers would be swift and severe"; Raymond James warned regulators could view such a structure as a deliberate circumvention of the Durbin Amendment; Robert W. Baird's note on the reported talks opened, simply, "First, we doubt this happens."[3][10][19] The reporting itself records that some of the discussion participants reached the same conclusion. The skepticism is telling: nobody doubts the assets work. The doubt attaches entirely to whether the value can be captured without triggering the political machinery that created Durbin in the first place — which is another way of saying the analysts closest to the transaction read these explorations as value-capture strategy rather than technology acquisition.

## Who captures the value?

Suppose the pattern continues — this transaction, or the structurally identical one that follows it, eventually closes. The consumer-benefit case runs as follows: restored debit economics would allow issuers to revive debit rewards, reduce checking fees, and reinvest in fraud protection and account features. The banking industry has argued for years that Durbin forced the elimination of exactly these benefits, and coverage of the reported talks notes that recovered network revenue could, in principle, fund their return.[20]

The case is coherent, and parts of it rest on documented history rather than advocacy. It is also conditional in every clause, and the conditions are precisely the ones the post-2011 record speaks to.

Issuers passed through a portion of Durbin's losses to consumers quickly and visibly — higher checking fees, vanishing rewards — because competitive dynamics permitted it. The reverse pass-through, from restored economics back to consumer value, requires a competitive or regulatory forcing mechanism, and it is not obvious where one comes from. An issuer that escapes the interchange cap through network ownership faces no requirement to fund rewards with the proceeds; the recovered margin flows to the income statement by default. Rewards return where they become strategically necessary — to defend deposit relationships against fintech challengers and exempt-issuer debit programs, to acquire primacy in the checking relationship, or to answer a competitor's move. The post-2011 record identifies the mechanism precisely: pass-through occurred where competitive or regulatory pressure compelled it, and did not where it did not.

Merchants face the mirror image. Uncapped debit interchange on cards from the largest issuers would raise acceptance costs on a payment method merchants cannot practically refuse — reversing, transaction by transaction, the cost relief Durbin delivered. Merchant trade groups argued in 2011 that interchange savings reached consumers through prices; they will argue with equal force that interchange increases will do the same in the opposite direction.[20] The empirical record complicates both positions symmetrically: Federal Reserve Bank of Richmond survey work found limited evidence that merchants passed Durbin's savings through to retail prices — a finding that weakens the merchant-side objection to restored interchange and lends documented support to the banking industry's long-standing claim that the cap harmed consumers without a corresponding price benefit.[16] Whichever side of that dispute one takes, the distributional point stands: some meaningful share of the value an issuer-owned network recaptures would be extracted from the merchant side of the market, and potentially from retail prices, rather than conjured from efficiency.

Regulators and policymakers face the sharpest version of the question. Any transaction whose reported economics depend on exempting the nation's largest debit issuers from a fee cap Congress wrote specifically for them is, functionally, a referendum on whether the Durbin framework still binds. The Capital One–Discover precedent complicates any reflexive objection — an issuer-network combination was approved barely a year ago — but scale matters: that deal attached a network to a mid-sized issuer, whereas ownership of a major independent debit rail by the industry's largest issuers would place core routing infrastructure inside the institutions the regulation was designed to constrain.

## Strategic implications

Whatever becomes of any specific transaction, three conclusions already follow from the pattern.

First, network ownership has become an issuer strategy, not a network-industry curiosity. Every independent debit network in the country is now more valuable as a strategic asset than its processing economics alone imply — a repricing that extends across the remaining independent rails and that payments consultants flagged within days of the July reporting.[17]

Second, routing is the battleground. The 2010s taught the industry that whoever controls routing controls debit economics — merchants learned it through Regulation II's routing rights, networks learned it through the PIN-less debit wars, and issuers are now acting on it through ownership. As transaction initiation migrates toward agentic and embedded flows, where routing decisions are made in software far from the consumer, control of the network layer compounds in value. The bar rises for every participant in the routing stack, regardless of vintage.

Third, the consumer-benefit case will be central to the public argument for every deal in this pattern — and it is the claim most dependent on conditions no transaction can guarantee. The case will lean heavily on the restoration of debit rewards and checking value that Durbin eliminated, and the first half of that history is well documented: Durbin did gut the debit rewards layer. Whether restored economics flow back to consumers depends on the competitive and regulatory environment present when they arrive. In the fifteen years on record, pass-through was never the default. It was the residual.

## Conclusion

The emerging interest in debit-network ownership is best understood as a strategic response to a fifteen-year-old reallocation. Durbin compressed debit economics and dismantled the rewards layer at large banks — that much the record establishes clearly. But the issuer response was never passive absorption of a loss. Banks recovered what they could through fees, moved the loyalty relationship to credit, and continued growing debit as a utility product with capped economics. The household wallet kept generating value throughout; the value simply pooled where the structural incentives directed it.

Issuer-owned debit networks would redirect those incentives once more — restoring uncapped economics to debit for the institutions that own the rails. Whether any of that value reaches consumers depends on competitive necessity and regulatory pressure, not on the existence of the economics themselves. Fifteen years of evidence counsels a specific kind of discipline: not doubt that debit can be made valuable again, but attention to the conditions under which value travels. Where competition for the deposit relationship or regulatory pressure has forced pass-through, consumers have shared in restored economics; where neither was present, they have not. Which of those environments would greet an issuer-owned debit network remains genuinely open.

Here is the thing about the Durbin Amendment that gets overlooked. When the Federal Reserve capped debit interchange for large banks back in 2011, the value that got compressed did not disappear. It moved. It migrated across the household wallet, pooling wherever the structural incentives were strongest. And in the summer of 2026, that migration finally surfaced as a live M&A story — with the Wall Street Journal and Reuters reporting that several of the largest U.S. debit issuers had held preliminary talks about acquiring debit-network assets from Fiserv, principally the STAR network, one of the country's major independent debit rails.

The talks are early, tentative, and by multiple accounts already cooling. But whether or not a transaction happens, the fact that it was seriously explored is the real signal. Because it is not the first data point in this pattern — it is the second.

To understand the second data point, you have to understand the first. In February 2024, Capital One announced its acquisition of Discover Financial Services in an all-stock deal valued at thirty-five-point-three billion dollars at announcement. That deal closed in May 2025. And among Discover's assets was the PULSE debit network. Capital One became, almost without comment, a major U.S. issuer that owns its own payment rails on the debit side.

At the time, most observers read it as a one-off — Discover's unique position, its closed-loop network, a structural quirk that no other issuer could replicate. The July 2026 reporting reframes that read entirely. The largest debit issuers in the country — reportedly including JPMorgan Chase, Bank of America, Wells Fargo, and PNC — had been studying the replication path. Capital One–Discover was not a curiosity. It was a template.

To understand why, you need to go back to what the Durbin Amendment actually did to debit economics, and what it did not do.

For the largest issuers, the annual revenue reduction was widely estimated across the industry at several billion dollars, with some analyses placing it above eight billion dollars across covered institutions.

Transactions running over a network OWNED by the issuer itself sit outside that structure, because there is no third-party-set interchange fee to regulate. That distinction was a footnote in 2011, when no major U.S. bank owned a debit network. It is the reason we are having this conversation now.

Debit's functional value — everyday spending, ATM access, budget discipline, checking-account utility — was never impaired.

What shifted was issuer incentives. Credit-card interchange remained uncapped. Credit carried finance charges, annual fees, and richer network economics. The decade after Durbin saw large issuers pour investment into credit rewards with an intensity that reshaped the market — culminating in the premium-card competition that ignited around 2016 and that the largest issuers are still escalating today.

Two claims need to be kept separate here, because the evidence supports one and not the other. The strong claim — that the same issuer recaptured the same customer's same lost debit transaction as a credit transaction — cannot be proven with public data. It would require customer-level portfolio analysis no bank publishes. The defensible claim is directional and structural: Durbin changed the relative attractiveness of debit and credit to issuers, and issuers reallocated rewards investment, marketing, and product emphasis toward the uncapped side of the wallet. The household kept paying electronically. The loyalty engine moved.

That history is the correct lens for the industry's current interest in debit networks.

The asset at the center of the 2026 reporting illustrates the strategic logic. STAR serves more than a hundred-and-fifteen million debit cardholders through over twenty-eight hundred financial institutions. It routes roughly three billion transactions annually. Trade-press coverage puts a valuation estimate around fifteen billion dollars. Ownership of an asset like that carries three layers of strategic value — in ascending order of importance.

[slowly] The third layer is the regulatory dimension — and it is both the prize and the obstacle.

Because the Durbin cap attaches to interchange fees set by third-party networks, analysts at KBW note that issuer-owned-network transactions could fall outside the cap entirely. KBW estimated that the Durbin exemption could lift gross revenue for the ten largest debit issuers by between four-hundred-sixty million and three-point-five billion dollars annually.

The analyst community has been notably direct about the obstacle. William Blair wrote that regulatory risk is high and that backlash from large retailers would be swift and severe. Raymond James warned regulators could view such a structure as deliberate circumvention of the Durbin Amendment. Robert W. Baird's note on the reported talks opened, simply: first, we doubt this happens. The reporting itself records that some discussion participants reached the same conclusion.

The skepticism is telling. Nobody doubts the assets work. The doubt attaches entirely to whether the value can be captured without triggering the political machinery that created Durbin in the first place. Which is another way of saying: the analysts closest to the transaction read these explorations as value-capture strategy, not technology acquisition.

Suppose, nonetheless, that the pattern continues and a transaction eventually closes. The consumer-benefit case runs as follows: restored debit economics would allow issuers to revive debit rewards, reduce checking fees, and reinvest in fraud protection and account features. The banking industry has made exactly this argument for fifteen years, and parts of it rest on documented history. Durbin did gut the debit rewards layer. The first half of the historical record supports the claim.

The second half of that record is where the conditions get harder. An issuer that escapes the interchange cap through network ownership faces no requirement to fund rewards with the proceeds. Recovered margin flows to the income statement by default. Rewards return where they become strategically necessary — to defend deposit relationships against fintech challengers, to acquire primacy in the checking relationship, or to answer a competitor's move. Pass-through occurred in the post-Durbin era where competitive or regulatory pressure compelled it, and did not where it did not.

Merchants face the mirror image. Uncapped debit interchange on cards from the largest issuers would raise acceptance costs on a payment method merchants cannot practically refuse, reversing transaction by transaction the cost relief Durbin delivered. Merchant trade groups argued in 2011 that interchange savings reached consumers through lower prices. They will argue with equal force that interchange increases would move prices in the opposite direction. The empirical record complicates both positions symmetrically. Federal Reserve Bank of Richmond survey work found limited evidence that merchants passed Durbin's savings through to retail prices — a finding that weakens the merchant-side objection to restored interchange and supports the banking industry's long-standing claim that the cap harmed consumers without a corresponding price benefit. Whichever side of that dispute one takes, some meaningful share of the value an issuer-owned network recaptures would come from the merchant side of the market, not from efficiency gains.

Whatever becomes of any specific transaction, three conclusions already follow from the pattern.

Network ownership has become an issuer strategy — not a network-industry curiosity. Every independent debit network in the country is now more valuable as a strategic asset than its processing economics alone imply. That repricing extends across the remaining independent rails, and payments consultants flagged it within days of the July reporting.

Routing is the battleground. The 2010s taught the industry that whoever controls routing controls debit economics. Merchants learned it through Regulation II's routing rights. Networks learned it through the PIN-less debit wars. Issuers are acting on it now through ownership. As transaction initiation migrates toward embedded and agentic flows — where routing decisions are made in software far from the consumer — control of the network layer compounds in value. The bar rises for every participant in the routing stack, regardless of vintage.

And the consumer-benefit case will be central to the public argument for every deal in this pattern. It is also the claim most dependent on conditions no transaction can guarantee. In the fifteen years on record, pass-through was never the default. It was the residual.

The central question is not whether more value can be created from debit. It is who captures it.
